Web Development Contract

# WEB DEVELOPMENT AGREEMENT THIS WEB DEVELOPMENT AGREEMENT (the "Agreement") is made and entered into as of [CONTRACT_DATE] (the "Effective Date"), by and between [CLIENT_NAME], with a principal place of business at [CLIENT_ADDRESS] (the "Client"), and [DEVELOPER_NAME], with a principal place of business at [DEVELOPER_ADDRESS] (the "Developer"). ## 1. SERVICES Developer agrees to provide Client with the following services (the "Services"): - Design and development of a website according to the specifications outlined in Exhibit A - Implementation of responsive design for mobile and desktop devices - Basic search engine optimization - Browser compatibility testing - [ADDITIONAL_SERVICES] ## 2. COMPENSATION Client agrees to pay Developer the sum of [CONTRACT_AMOUNT] for the Services performed under this Agreement. Payment shall be made as follows: - 50% due upon signing this Agreement - 25% due upon completion of design phase - 25% due upon completion of the project ## 3. INTELLECTUAL PROPERTY RIGHTS Upon receipt of full payment, Developer assigns to Client all right, title and interest in and to the deliverables, including all intellectual property rights therein. ## 5. CONFIDENTIALITY Each party agrees to maintain the confidentiality of any proprietary information received from the other party during the term of this Agreement and for a period of [CONFIDENTIALITY_PERIOD] thereafter. ## 6. WARRANTY Developer warrants that the deliverables will conform to the specifications outlined in Exhibit A for a period of [WARRANTY_PERIOD] from the date of final delivery. ## 7. LIMITATION OF LIABILITY In no event shall either party be liable for any indirect, special, incidental, or consequential damages. ## 8. TERMINATION Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches this Agreement and fails to cure such breach within [CURE_PERIOD] days of receiving notice thereof. ## 9. INDEPENDENT CONTRACTOR Developer is an independent contractor, and nothing in this Agreement shall create an employer-employee relationship between Client and Developer. ## 10.
